Introduction

These Terms & Conditions ("Terms") govern the relationship between AUTECH ("we", "us", "our") and any individual or business ("Client", "you") that engages our services or accesses this website. By engaging AUTECH or using this site, you agree to be bound by these Terms.

Please read these Terms carefully before starting a project or using our website.

Services

AUTECH provides design, development, and technology consulting services as outlined in an approved Statement of Work (SOW) or project proposal. The specific deliverables, timelines, and scope for each engagement are defined separately in that document and form part of these Terms once accepted in writing.

Proposal

Every project begins with a written proposal detailing scope, deliverables, cost, and an estimated timeline. A proposal becomes a binding agreement once signed by the Client and countersigned by AUTECH, or once the first invoice is paid — whichever occurs first. Verbal agreements are not considered binding.

Payments

Projects are billed according to the schedule set out in the proposal — typically a 50% deposit to begin work and the remaining 50% before final files are released. Invoices are due within 7 business days of receipt.

Work may be paused on accounts more than 15 days overdue, and outstanding balances may accrue a 1.5% monthly late fee.

Payment delays may affect project timelines.

Timeline

Estimated timelines are provided in good faith based on the agreed scope and the Client's timely feedback. Delays caused by late approvals, missing content, or scope changes will extend the delivery date accordingly and are not considered a breach by AUTECH.

IP Rights

Full ownership of final, approved deliverables transfers to the Client upon receipt of full payment. AUTECH retains the right to display completed work in its portfolio, case studies, and marketing materials unless the Client requests confidentiality in writing before project kickoff.

Pre-existing tools, frameworks, code libraries, and proprietary assets used to produce the work remain the property of AUTECH.

Portfolio usage rights can be waived only if requested in writing before the project begins.

Responsibilities

The Client agrees to provide timely feedback, required content, brand assets, and any access credentials necessary to complete the project. Delays in providing this information may affect the agreed timeline and are the Client's responsibility.

Revisions

Each project includes a defined number of revision rounds as stated in the proposal. Revisions beyond this allowance, or changes that fall outside the original scope, will be quoted separately and billed at our standard hourly rate.

Confidentiality

Both parties agree to keep confidential information — including business strategies, unreleased designs, and proprietary data — private, and not to disclose it to third parties without written consent, both during and after the engagement.

Termination

Either party may terminate an active engagement with 14 days' written notice. Upon termination, the Client is responsible for payment of all work completed up to that date. AUTECH reserves the right to withhold final files until outstanding balances are settled.

Warranty

AUTECH warrants that deliverables will substantially conform to the agreed specifications at the time of delivery. Beyond this, services are provided "as is," and we make no further warranties, express or implied, regarding uninterrupted or error-free performance.

Liability

AUTECH's total liability for any claim arising from a project is limited to the total fees paid by the Client for that specific engagement. We are not liable for indirect, incidental, or consequential damages, including loss of revenue or data.

Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which AUTECH is registered, without regard to conflict-of-law principles. Any disputes will be resolved in the courts of that jurisdiction.

Modification

AUTECH may update these Terms periodically to reflect changes in our services or legal requirements. Continued use of our services after an update constitutes acceptance of the revised Terms. Material changes will be communicated to active clients directly.

This website and its content are intended for general informational purposes. Unless otherwise stated, AUTECH and/or its licensors own the intellectual property rights for all material on this site. You may access this content for personal, non-commercial use, subject to the restrictions set out in these Terms.

Frequently asked questions

How are payments handled?

Projects are billed in two milestones — a deposit to begin work and a final payment before delivery — as detailed in your signed proposal. Invoices are sent digitally and due within 7 business days.

Can revisions incur extra cost?

Yes. Every proposal includes a set number of revision rounds. Requests beyond that allowance, or changes outside the original scope, are quoted separately and billed at our standard hourly rate.

Who owns final designs?

Ownership of approved final deliverables transfers to you in full once payment is complete. We retain the right to showcase the work in our portfolio unless you request confidentiality in writing beforehand.

Can AUTECH terminate projects?

Either party can end an active engagement with 14 days' written notice. You remain responsible for any work completed up to the termination date.

What if I need to cancel my project?

You can cancel at any point by giving written notice. Deposits already paid cover work completed to date and are non-refundable once work has started.

Do you offer refunds?

Refunds are assessed case by case based on work completed. Deposits are generally non-refundable once a project is underway, as they cover time already committed.
